1. Introduction
Welcome to Thomas Datt and The Producers Portal.
These Terms of Service govern your use of the Thomas Datt website and your purchase, subscription, booking, access to and participation in services, mentorship programmes, communities, reports, videos, sessions, digital content and other services offered by Thomas Datt and The Producers Portal.
By accessing this website, purchasing or subscribing to a service, enrolling in a mentorship programme, joining a community or booking or participating in a session, you agree to be bound by these Terms of Service.
If you do not agree with these Terms, you should not use this website or purchase, subscribe to or participate in our services.
2. The Producers Portal Services
The Producers Portal provides music production mentorship, track analysis, production guidance, creative development, educational content, community access and related services.

The specific inclusions, format, number of sessions, delivery timeframe, programme duration, subscription period, availability and applicable conditions for each service are described on the relevant product, programme, subscription, sales or checkout page at the time of purchase.
3. Nature of the Services
The Producers Portal provides personalised mentorship, guidance, feedback, analysis, educational support and creative development relating to music production and associated areas.
Services may be adapted to the individual producer, their music, creative process, production challenges, strengths and development.
The Producers Portal provides guidance, education and professional opinion. The participant remains responsible for their own creative, professional, commercial and career decisions and for determining how they implement any feedback or recommendations provided.
No specific musical, creative, commercial, financial, career, release, record label, streaming, chart or music-industry outcome is guaranteed.
Results will vary between participants and may depend on the participant's existing skills, experience, participation, implementation of feedback, individual circumstances and creative development.
4. The Prelude
The Prelude is a private online community for music producers.
The Prelude may include live or recorded production sessions, track feedback, question-and-answer sessions, creative discussions, educational material, community participation, personal and creative development content and other activities made available from time to time.
The specific content, frequency, contributors and format of activities within The Prelude may change as the community and service develop.
Where a free trial or introductory period is offered, the applicable trial period and subscription conditions will be disclosed at the time of registration.
Unless cancelled before the end of an applicable free-trial period, the subscription may automatically convert to a paid recurring subscription in accordance with the terms disclosed when the participant joined.
Where The Prelude is offered as a recurring subscription, the subscription will continue and recurring payments may be charged until the participant cancels the subscription using the cancellation method provided.
Cancellation prevents future subscription renewals but does not ordinarily provide a refund for a subscription period that has already commenced, except where required by applicable law.
Participants are responsible for cancelling their subscription before the next renewal date if they do not wish to continue.
Access to The Prelude is personal to the subscriber and must not be shared with another person.
Participants must respect the privacy, music, ideas, creative materials and contributions of other community members.
The Producers Portal may establish reasonable community standards and may remove or restrict access for behaviour that is abusive, unlawful, seriously disruptive, infringes another person's rights or materially breaches these Terms.
5. Track Diagnosis Report
The Track Diagnosis Report is a personalised written analysis of music submitted by the participant.
The report may consider technical, structural, creative, emotional, artistic, behavioural and production-related factors relevant to the submitted music.
The specific scope and inclusions of the Track Diagnosis Report are described on the relevant product page at the time of purchase.
The Track Diagnosis Report is an analytical and educational service. It does not guarantee that implementation of observations, recommendations or guidance provided will produce any particular musical, creative, commercial, career or industry outcome.
Participants are responsible for supplying the music, information and materials reasonably required to complete the report.
Any stated delivery period begins once The Producers Portal has received the materials and information reasonably necessary to undertake the analysis.
The participant retains ownership of their submitted music and original creative works, subject to any third-party rights that may apply.
6. Sonic Roadmap Video
The Sonic Roadmap Video is a personalised video-based music production and creative development service.
Thomas Datt will review the music, information and materials submitted by the participant and provide a personalised video addressing relevant production challenges, priorities, bottlenecks, creative direction and areas for development.
The precise content of each Sonic Roadmap Video will vary according to the participant, their music and the materials submitted.
The specific scope and inclusions of the Sonic Roadmap Video are described on the relevant product page at the time of purchase.
The Sonic Roadmap Video provides professional opinion, guidance and educational feedback. It does not guarantee any particular improvement, musical outcome, release, commercial result, career outcome or other result.
Participants are responsible for supplying the music, information and materials reasonably required for Thomas Datt to prepare the Sonic Roadmap Video.
Any stated delivery period begins once the materials and information reasonably necessary to provide the service have been received.
7. Discovery Session
The Discovery Session is a private 1-2-1 music production mentorship session with Thomas Datt.
The duration and current inclusions of the Discovery Session are described on the relevant product page at the time of purchase.
The session is focused on the participant's music, track production, creative decisions and individual production challenges.
The Discovery Session must be booked and attended within any booking or validity period stated on the relevant product page or communicated at the time of purchase.
At least 24 hours' notice is required where a participant wishes to reschedule a Discovery Session.
Where a session recording forms part of the service, it will be provided for the participant's personal learning and development only.
8. Sonic Collective - Group Mentorship
The Sonic Collective is The Producers Portal's live small-group music production mentorship programme for a limited number of participants stated on the relevant programme page.

4 group 2 hour mentorship sessions with Thomas Datt.
Participation is limited to the number of participants stated on the relevant Sonic Collective programme page or offer.
Sonic Collective sessions take place on the dates and times advertised for the relevant programme intake.
Participants are responsible for ensuring they are available to attend the scheduled sessions.
Due to the live, group-based and progressive nature of the Sonic Collective, session dates and times cannot ordinarily be changed to accommodate an individual participant.
A participant who misses a scheduled Sonic Collective session is not ordinarily entitled to an individual replacement or rescheduled session, except where required by applicable law or otherwise agreed by The Producers Portal.
Where session recordings are provided, they are supplied for the participant's personal learning and development only and must not be shared, distributed, reproduced, uploaded, sold or otherwise made available to another person without permission.
Participants must respect the privacy, music, ideas and creative materials shared by other Sonic Collective participants.
9. Accelerator Mentorship — 2 Month Programme
The Accelerator Mentorship is a fixed-term private 1-2-1 music production mentorship programme.

4 private 2 hour 1-2-1 mentorship sessions with Thomas Datt; and
-
1 bonus 1 hour individual growth and Human Design session with Alicia Singleton.
The programme duration, number and duration of mentorship sessions, any supplementary sessions and other current inclusions are described on the relevant programme page at the time of purchase.
The Accelerator Mentorship begins on the date of the participant's first mentorship session with Thomas Datt unless otherwise stated or agreed in writing.
All included mentorship and supplementary sessions must be booked and completed within the applicable mentorship period.
Participants are responsible for booking and attending their sessions within the programme timeframe.
Except where required by applicable law or where otherwise agreed by The Producers Portal in writing due to exceptional circumstances, unused sessions cannot be carried forward beyond the applicable mentorship period.
The programme is intentionally structured as a progressive mentorship experience, with sessions building upon the work, implementation and development arising from previous sessions.
At least 24 hours' notice is required for rescheduling is expected.
Where recordings form part of the programme, they will be provided for the participant's personal learning and development.
10. Professional Mentorship — 4 Month Programme
The Professional Mentorship is a fixed-term private 1-2-1 music production mentorship programme.

8 private 2 hour 1-2-1 mentorship sessions with Thomas Datt; and
-
2 private 1 hour individual growth and Human Design sessions with Alicia Singleton.
The programme duration, number and duration of mentorship sessions, any supplementary sessions and other current inclusions are described on the relevant programme page at the time of purchase.
The Professional Mentorship begins on the date of the participant's first mentorship session with Thomas Datt unless otherwise stated or agreed in writing.
All included mentorship and supplementary sessions must be booked and completed within the applicable mentorship period.
Participants are responsible for scheduling and attending all included sessions within the programme timeframe.
Except where required by applicable law or where otherwise agreed by The Producers Portal in writing due to exceptional circumstances, unused sessions cannot be carried forward beyond the applicable mentorship period.
The applicable timeframe is an integral part of the programme structure. Sessions are intended to provide progressive development, implementation and review rather than operate as disconnected individual appointments.
At least 24 hours' notice is required for rescheduling is expected.
Where recordings form part of the programme, they will be provided for the participant's personal learning and development.
11. Elite Mentorship — 6 Month Programme
The Elite Mentorship is a fixed-term private 1-2-1 music production mentorship programme includes;

12 private 2 hour 1-2-1 mentorship sessions with Thomas Datt; and
-
3 private 1 hour individual growth and Human Design sessions with Alicia Singleton.
The programme duration, number and duration of mentorship sessions, any supplementary sessions and other current inclusions are described on the relevant programme page at the time of purchase.
The Elite Mentorship begins on the date of the participant's first mentorship session with Thomas Datt unless otherwise stated or agreed in writing.
All included mentorship and supplementary sessions must be booked and completed within the applicable mentorship period.
Participants are responsible for scheduling and attending all included sessions within the programme timeframe.
Except where required by applicable law or where otherwise agreed by The Producers Portal in writing due to exceptional circumstances, unused sessions cannot be carried forward beyond the applicable mentorship period.
The programme is designed as a progressive mentorship experience. The continuity and timing of sessions form an important part of the mentorship methodology.
At least 24 hours' notice is required for rescheduling is expected.

Where recordings form part of the programme, they will be provided for the participant's personal learning and development.
12. Programme Timeframes and Participant Responsibility
The applicable mentorship programme timeframe is stated before purchase and forms part of the service being purchased.
Participants are responsible for:

Booking sessions with sufficient notice;

Maintaining reasonable availability throughout the programme;
-
Attending confirmed sessions;
-
Completing sessions within the applicable programme timeframe; and
-
Allowing sufficient time to book remaining sessions before the programme end date.

Purchasing a mentorship programme does not, by itself, extend, pause or suspend the stated programme timeframe.
Participants should not wait until the final weeks of their programme to attempt to book all remaining sessions.
The Producers Portal is not responsible for a participant's failure to book or attend sessions within the applicable programme period where reasonable booking opportunities have been made available.
Where Thomas Datt, Alicia Singleton or The Producers Portal is unable to provide a confirmed session due to circumstances within our control, reasonable arrangements will be made to reschedule the affected session.
Where appropriate, the programme timeframe may be adjusted to accommodate a delay caused by The Producers Portal or the relevant mentor.
Nothing in this section excludes or restricts rights available under the Australian Consumer Law.
13. Booking, Rescheduling and Missed Sessions
Participants must book mentorship sessions through the booking method provided by The Producers Portal.
If a participant needs to reschedule a private session, they must provide at least 24 hours' notice before the scheduled session time.
Where at least 24 hours' notice is provided, the session may be rescheduled subject to availability and the applicable programme timeframe.
Where a participant fails to attend a confirmed session or cancels or requests to reschedule with less than 24 hours' notice, the session may be treated as used, except where required by applicable law or where The Producers Portal agrees otherwise due to exceptional circumstances.
Repeated rescheduling may affect the participant's ability to complete all included sessions within the applicable mentorship period.
Rescheduling a session does not automatically extend the applicable mentorship programme timeframe.
All sessions must still be booked and completed within the relevant programme period unless an extension is agreed in writing by The Producers Portal or otherwise required by applicable law.
14. Sessions with Alicia Singleton
Certain Producers Portal mentorship programmes and services may include individual growth, creative development or Human Design sessions with Alicia Singleton.
These sessions may use Human Design as a framework for personal exploration, individual growth and creative development.
Human Design sessions are provided for personal development and reflective purposes only.
They do not constitute medical, psychological, psychiatric, therapeutic, legal or financial advice and are not a substitute for services provided by an appropriately qualified professional.
Where Alicia Singleton's sessions are included within a fixed-term mentorship programme, those sessions must also be booked and completed within the applicable programme timeframe.
15. Participant Music and Creative Materials
Participants may provide music, audio files, project materials, written information and other creative content for the purpose of receiving mentorship, analysis, feedback or another purchased service.
Participants retain ownership of their original music and creative works.
By providing materials to Thomas Datt, Alicia Singleton or The Producers Portal, the participant grants permission for those materials to be accessed, listened to, reviewed and discussed to the extent reasonably necessary to provide the purchased service.
The Producers Portal does not acquire ownership of a participant's music or original creative works by receiving those materials.
Participants are responsible for ensuring that they have the right to submit any music, audio, samples, recordings, project files or other material supplied to The Producers Portal.
16. Confidentiality and Group Participation
The Producers Portal will take reasonable steps to respect the confidential nature of music and creative materials shared during private mentorship and submitted for private services.
Participants in the Sonic Collective, The Prelude or any other group or community environment must respect the privacy, music, ideas and creative materials shared by other participants.
Participants must not record, reproduce, distribute, upload, share or commercially exploit another participant's music, feedback, session contributions or creative materials without that person's express permission.
Unauthorised sharing of another participant's materials or confidential programme content may result in removal from the relevant programme or community.
17. Intellectual Property, Music and Licensed Content
Unless otherwise stated, Thomas Datt and/or the relevant licensors retain ownership of all intellectual property rights in the website, music, recordings, compositions, audio files, production materials, mentorship materials, programme frameworks, written materials, reports, videos, graphics and other content made available through the Thomas Datt website or The Producers Portal.
Thomas Datt Music and Recordings
Music, compositions, sound recordings and other creative works released, published or made available by Thomas Datt remain protected by applicable copyright and intellectual property laws.
Unless music or content is expressly identified as royalty-free or supplied under a specific licence, no licence for commercial use, reproduction, redistribution, adaptation, synchronisation, sampling or incorporation into another creative work is granted.
The purchase, streaming, download or access of Thomas Datt's music does not transfer copyright or ownership of the music, composition or sound recording to the purchaser or listener.
Unless expressly authorised by Thomas Datt or the relevant rights holder, users must not reproduce, distribute, sell, sublicense, sample, adapt, commercially exploit or use Thomas Datt's music or recordings in another production.
Royalty-Free and Licensed Content
Certain music, audio, samples, sounds, production materials or other digital content may be expressly offered for sale under a royalty-free or other specified licence.
Purchase of royalty-free or licensed content does not transfer ownership or copyright in the original content to the purchaser.
Instead, the purchaser receives a limited, non-exclusive and non-transferable licence to use the purchased content in accordance with the licence terms stated on the relevant product page or supplied with the digital content.
Where content is expressly identified as royalty-free, the purchaser may use the licensed content within their own original music, audio, video, media or creative productions, including commercial productions, subject to the applicable licence terms.
Unless expressly permitted by the applicable licence, purchasers must not:

Resell, redistribute, sublicense or share the original content or files;
-
Make the original content or files available for download by another person;
-
Upload or distribute the content as a standalone music, sample, sound, audio or production product;
-
Claim ownership or authorship of the original licensed content;
-
Register the original licensed content, or a substantially unaltered version of it, as their exclusive work;
-
Register the original licensed content with a content identification system in a manner that may restrict lawful use by Thomas Datt or other authorised licensees;
-
Use the content to create or sell a competing royalty-free music, sample, sound or production library; or
-
Transfer the licence to another person or business without prior written permission.
A royalty-free licence means that, following lawful purchase, the purchaser may use the licensed content in accordance with the applicable licence without paying ongoing royalties to Thomas Datt for each permitted use.
Royalty-free does not mean copyright-free, public domain or unrestricted use.
Any additional licence conditions displayed on the relevant product page or supplied with the purchased content form part of the licence granted to the purchaser.
Mentorship Materials
Mentorship materials, programme frameworks, written materials, reports, videos, Sonic Roadmap Videos, Track Diagnosis Reports, session recordings and other content supplied through The Producers Portal remain the intellectual property of Thomas Datt and/or the relevant rights holder.
Participants are granted a limited, personal, non-exclusive and non-transferable right to use those materials for their own learning and development.
Unless prior written permission is provided, participants must not reproduce, distribute, sell, sublicense, publicly share or commercially exploit mentorship or educational materials.
Participants must not share private session recordings, republish paid programme materials, use mentorship materials to create a competing course, programme or mentorship service, or record private or group mentorship sessions without permission.
Participant Music and Creative Works
Nothing in this section transfers ownership of music or original creative works submitted by a participant.
Participants retain ownership of their original music and creative works, subject to any third-party rights that may apply.
Materials submitted for mentorship, analysis or feedback may only be accessed, listened to, reviewed and discussed to the extent reasonably necessary to provide the purchased service.
18. Artwork, Visual Content and Brand Intellectual Property
Unless otherwise stated, Thomas Datt and/or the relevant rights holders retain all applicable intellectual property rights in artwork, visual content and brand materials displayed, published or made available through the Thomas Datt website, The Producers Portal and associated services.
This may include, without limitation, album and single artwork, release artwork, The Producers Portal artwork and visual concepts, portal and programme artwork, symbols, glyphs, icons, graphic elements, logos, branding, visual identity, photographs, promotional imagery, website graphics, videos, animations, motion graphics and other visual or artistic content.
Artwork and visual content are protected by applicable copyright and intellectual property laws.
Unless expressly licensed or authorised in writing, users must not copy, reproduce, modify, adapt, distribute, publish, sell, sublicense, commercially exploit or use artwork or visual content to create derivative commercial materials.
Users must not remove, obscure or alter copyright notices, branding, watermarks or other rights-management information attached to or displayed with artwork or visual content.
The purchase of music, digital content, a report, video, mentorship session or Producers Portal programme does not transfer ownership of, or grant a licence to use, Thomas Datt or The Producers Portal artwork, branding, visual identity or other visual intellectual property unless those rights are expressly granted in writing or included within the applicable product licence.
Where artwork or visual content is owned or licensed by a third party, use of that content remains subject to the rights of the relevant rights holder.
19. Fees, Payments, Payment Plans and Instalments
The price of each service, programme, subscription or digital product is displayed at the time of purchase.
Prices are displayed in the currency identified on the relevant product, programme, subscription or checkout page.
Payment must be made using the payment methods available at checkout.
Where a payment plan, instalment arrangement or split-payment option is offered, that arrangement is a method of paying the total agreed purchase price and does not convert the programme or service into a pay-as-you-go arrangement.
Unless expressly stated otherwise at the time of purchase, each instalment does not purchase a separate portion of the programme or an individual group of sessions.
By selecting a payment plan, instalment arrangement or split-payment option, the participant agrees to pay all instalments comprising the agreed purchase price when they become due.
Subject to rights and remedies available under applicable law, ceasing participation, failing to attend sessions, deciding not to complete a programme, dissatisfaction with personal progress or creative outcomes, or a change of mind does not of itself cancel the participant's obligation to pay remaining agreed instalments.
A request to cancel participation in a programme does not automatically cancel outstanding instalments under an agreed payment arrangement.
Failure to make an agreed instalment when due may result in suspension of access to future mentorship sessions, programmes, communities, materials or other services until the outstanding payment is resolved.
Where recurring payments have been authorised as part of an agreed payment plan or subscription, payments may continue to be processed in accordance with that agreement until all agreed instalments have been paid or, in the case of a recurring subscription, until the subscription is validly cancelled.
Nothing in this section excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded under the Australian Consumer Law.
20. Cancellations and Refunds
Participants should choose their service, programme or mentorship carefully.
Subject to rights available under the Australian Consumer Law, change-of-mind refunds are not automatically provided after purchase.
Dissatisfaction with personal progress, creative outcomes, musical development, compatibility with a mentorship approach, or a decision not to continue participating does not of itself entitle a participant to a full or partial refund.
No particular musical, creative, commercial, financial, career, release, record label, streaming, chart or music-industry outcome is guaranteed.
Where a participant purchases a fixed-term programme, ceasing participation does not automatically cancel the programme, create an entitlement to a full or partial refund or cancel outstanding instalments under an agreed payment plan.
Failure to attend, make use of or complete a service or programme does not of itself create an entitlement to a refund where The Producers Portal has remained ready and reasonably available to provide the purchased service.
For recurring subscription services such as The Prelude, cancellation stops future renewals in accordance with the applicable subscription terms but does not ordinarily result in a refund of fees already paid for a subscription period that has commenced.
Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded under the Australian Consumer Law.
Where a service does not meet an applicable consumer guarantee, the participant may be entitled to a remedy in accordance with Australian Consumer Law.
If The Producers Portal is unable to supply a purchased service, reasonable steps will be taken to provide an appropriate alternative, reschedule the affected service or provide another remedy as required by applicable law.
Requests relating to exceptional personal circumstances may be considered individually.
Consideration of such a request does not guarantee a refund, programme extension, cancellation of outstanding instalments or transfer.
21. Digital and Personalised Services
Certain Producers Portal services, including reports, personalised videos, recordings and other digital or personalised content, may involve work commencing shortly after the participant submits the information and materials required to provide the service.
Once work on a personalised service has commenced, a participant's change of mind does not of itself create an entitlement to cancellation or refund, subject always to rights available under applicable law.
Where a participant delays providing information, music or materials required to complete a personalised service, any stated delivery timeframe may be reasonably extended.
The Producers Portal is not responsible for delays caused by incomplete, inaccessible, incorrect or late materials supplied by the participant.
22. Website Use and Restrictions Disclaimer
Users must not:

Use this website unlawfully;

Attempt to interfere with the operation or security of the website;

Copy or commercially exploit website content without permission;
-
Use website content in a manner that infringes intellectual property rights;
-
Misrepresent their relationship with Thomas Datt or The Producers Portal; or
-
Use the website or services in a manner intended to harm another person or business.
23. Website Disclaimer
The website and its content are provided for general information and to describe services offered by Thomas Datt and The Producers Portal.
Reasonable efforts are made to maintain accurate information. However, website content, programme availability, service formats, contributors and future service offerings may be updated from time to time.
Nothing in these Terms excludes any guarantee, warranty, right or remedy that cannot lawfully be excluded.
24. Limitation of Liability
To the maximum extent permitted by law, Thomas Datt and The Producers Portal will not be liable for indirect or consequential loss arising from a participant's use of the website or participation in services where such liability may lawfully be limited.
Participants remain responsible for decisions they make in reliance upon educational, creative, production, mentorship or personal-development guidance.
Nothing in these Terms excludes, restricts or modifies liability, consumer guarantees or other rights where doing so would be unlawful.
25. Indemnification
To the extent permitted by law, participants agree to indemnify Thomas Datt and The Producers Portal against reasonable losses, liabilities, costs and expenses arising directly from:

Unlawful use of the website;

Infringement of another person's intellectual property rights;
-
Unauthorised sharing or commercial use of programme, community or educational materials;
-
Unauthorised use or distribution of another participant's music or creative materials; or
-
A material breach of these Terms.
26. Suspension or Removal of Services
The Producers Portal may suspend or terminate a participant's access to a programme, community or service where the participant materially breaches these Terms, unlawfully distributes protected materials, seriously infringes another participant's rights, engages in abusive or seriously disruptive behaviour, or fails to make agreed payments when due.
Where reasonably practicable, the participant may be given an opportunity to address the issue before access is permanently terminated, depending upon the nature and seriousness of the breach.
Any suspension or termination under this section remains subject to applicable law and does not affect any rights that cannot lawfully be excluded.
27. Severablity
If any provision of these Terms is found to be invalid or unenforceable, that provision will be read down or removed to the extent necessary without affecting the remaining provisions.
28. Changes to These Terms
These Terms may be updated from time to time.
The Terms applicable to a purchased service or mentorship programme will generally be those presented or made available at the time of purchase, except where a change is required by law or expressly agreed with the participant.
Changes to these Terms will not retrospectively remove rights that a participant has under applicable law.
29. Assignment and Transfer of Programmes
Thomas Datt and The Producers Portal may assign or subcontract rights or obligations where reasonably necessary for the operation or delivery of the services.
Participants may not sell, transfer or assign a mentorship programme, service, subscription or unused mentorship sessions to another person without prior written approval from The Producers Portal.
30. Entire Agreement
These Terms, together with the relevant product description, programme or service inclusions, subscription terms, checkout terms and any written agreement specifically relating to the participant's purchase, constitute the agreement relating to the purchased services.
Where specific conditions relating to a particular service are disclosed on the relevant product or checkout page at the time of purchase, those conditions form part of the agreement for that service.
31. Governing Law and Jurisdiction
These Terms are governed by the laws of New South Wales, Australia and applicable Commonwealth laws of Australia.
